Terms and Conditions
The agreement that governs your use of Stuex · Effective Date: 16 May 2026
These Terms and Conditions ("Terms") form a legally binding agreement between you ("User," "you," or "your") and Stuex ("Stuex," "we," "us," or "our") governing your access to and use of stuex.ng and any associated services (collectively, the "Platform").
By creating an account, clicking "I Agree" on our onboarding modal, or otherwise accessing the Platform, you confirm that you have read, understood, and accepted these Terms. If you do not agree, you must not use the Platform.
1. Eligibility
To use Stuex, you must:
- Be at least eighteen (18) years of age.
- Be a currently enrolled student of a Nigerian tertiary institution, or otherwise be granted access through an official Stuex programme.
- Complete the identity and student verification process truthfully.
- Have the legal capacity to enter into a binding contract under Nigerian law.
If we discover that you do not meet these requirements, we may suspend or permanently close your account.
2. Your Account
- You are responsible for all activity that occurs under your account.
- You must keep your login credentials confidential and notify us immediately if you suspect unauthorised access.
- You may not create multiple accounts, impersonate another person, or use another person's verification details.
- We may suspend, restrict, or close your account at any time if we reasonably believe you have breached these Terms.
3. The Role of Stuex
Stuex operates the Platform as an intermediary technology provider. In particular:
- For marketplace transactions, Stuex acts solely as an escrow intermediary. We collect payment from the buyer, hold it in a custodial arrangement with our payment processor, and release it to the seller after buyer confirmation.
- Stuex is not a party to any sale of goods between buyers and sellers. We do not own, inspect, store, or ship items listed on the Platform.
- Stuex is not a licensed financial institution. Escrow services are facilitated through licensed third-party payment processors.
- Stuex is not an educational institution, examination body, or accrediting authority. The SILE learning engine provides study aid only and is not a substitute for official instruction.
4. Verification
Before you may post listings, send offers, or access certain features, you must verify your student status. Verification involves submission of a student identification document or institutional email address, which is processed and then deleted as described in our Privacy Policy. You agree that the information you submit is true, accurate, and current.
5. Marketplace and Escrow
5.1 Listings
- Sellers must list only items they own and have the legal right to sell.
- Listings must be accurate, complete, and not misleading, including photographs and descriptions of condition.
- Sellers are responsible for setting fair prices and for any taxes that may apply to their sales.
- Items in our Prohibited Content policy may not be listed under any circumstances.
5.2 Escrow Flow
- The buyer initiates a purchase and pays the full price into the Stuex escrow account.
- The seller is notified to deliver or hand over the item.
- The buyer inspects the item and confirms receipt and satisfaction within the inspection window.
- Upon confirmation, Stuex releases the funds to the seller, less the applicable service fee.
- If the buyer does not confirm or raise a dispute within seventy-two (72) hours of marked delivery, funds are automatically released to the seller.
5.3 Service Fee
Stuex charges a service fee of five percent (5%) of the transaction value. This fee is deducted from the amount payable to the seller. We may change the fee in future, but any change will be communicated in advance and will not apply retroactively to ongoing transactions.
5.4 Disputes and Refunds
- If an item is not delivered, is materially different from its description, or is defective, the buyer may raise a dispute through the Platform within the inspection window.
- Stuex will review evidence from both parties and make a good-faith decision. Possible outcomes include full refund, partial refund, or release of funds to the seller.
- Decisions made by Stuex in a dispute are final, save for any rights you have under applicable Nigerian law.
- Stuex is not liable for losses caused by a buyer's failure to inspect an item within the inspection window or by a seller's misrepresentation.
5.5 Off-Platform Transactions
You agree to keep marketplace transactions on the Platform. Off-platform transactions void Stuex's escrow protections and may result in account suspension. Stuex is not responsible for losses arising from off-platform dealings.
6. Learning Tools (SILE)
- The SILE learning engine provides explanations, grading, and study suggestions powered by artificial intelligence.
- SILE outputs are generated automatically and may contain errors. You should not rely on SILE as the sole source of academic preparation.
- Stuex does not guarantee that use of SILE will result in any particular examination grade or academic outcome.
- You may not use SILE to facilitate examination malpractice. Sharing live examination questions, soliciting solutions during an examination, or any similar activity is strictly prohibited under our Prohibited Content policy.
7. User Content and Conduct
You retain ownership of the content you submit to the Platform, including listings, photographs, posts, and answers. By submitting content, you grant Stuex a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and otherwise use that content for the purpose of operating, promoting, and improving the Platform.
You agree not to:
- Post content that violates our Prohibited Content policy.
- Harass, threaten, defame, or impersonate any person.
- Use the Platform for spam, phishing, fraud, or any unlawful purpose.
- Scrape, copy, or reproduce material from the Platform without our written permission.
- Attempt to interfere with the security, integrity, or availability of the Platform.
- Use bots or automated tools to access the Platform, except as expressly permitted.
8. Intellectual Property
- Stuex and its licensors own all rights in the Platform, including software, design, trademarks, and aggregated content.
- You may not copy, modify, distribute, or create derivative works of the Platform or any of its components without our written consent.
- Trademarks of third parties displayed on the Platform belong to their respective owners.
9. Suspension and Termination
We may suspend or terminate your account, with or without notice, if we reasonably believe you have:
- Breached these Terms, our Prohibited Content policy, or any applicable law.
- Provided false verification information.
- Engaged in fraud, scams, or academic malpractice.
- Used the Platform in a way that exposes Stuex or other users to legal, security, or reputational risk.
You may close your account at any time. Closure does not extinguish any obligations you have already incurred, including ongoing transactions and accrued fees.
10. Disclaimers
To the maximum extent permitted by law:
- The Platform is provided "as is" and "as available," without warranties of any kind, express or implied.
- Stuex does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.
- Stuex does not warrant the quality, safety, legality, or accuracy of items listed by sellers or content posted by users.
- Stuex does not warrant any specific academic outcome from use of SILE.
11. Limitation of Liability
To the maximum extent permitted by law:
- Stuex is not liable for indirect, incidental, special, consequential, or exemplary damages arising from your use of the Platform.
- Our total aggregate liability to you for any claim relating to the Platform shall not exceed the greater of (a) the total service fees paid by you to Stuex in the twelve (12) months preceding the claim, or (b) ten thousand Naira (?10,000).
- Nothing in these Terms excludes liability that cannot be excluded under Nigerian law.
12. Indemnity
You agree to indemnify and hold harmless Stuex, its directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your User Content, or your use of the Platform.
13. Governing Law and Disputes
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation.
- If a dispute is not resolved within thirty (30) days, it shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.
- Notwithstanding the above, either party may seek injunctive relief in a competent Nigerian court to protect intellectual property or confidentiality.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Platform or by email at least seven (7) days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
